Promotion and Implementation of Corporate Governance
|
On November 9, 2022, Catcher Technology Co., Ltd. obtained approval from the Board of Directors to appoint Ms. Hung-Ying Lee, Associate Vice President, as Corporate Governance Officer, responsible for corporate governance–related matters. Her responsibilities include, in accordance with applicable laws and regulations, handling matters related to meetings of the Board of Directors and shareholders, providing directors with information necessary for the performance of their duties, assisting directors with onboarding and continuing education, and supporting directors in complying with relevant laws and regulations.
Catcher’s corporate governance practices are guided by four core principles: safeguarding shareholders’ rights and interests, strengthening the functions of the Board of Directors, respecting stakeholders’ rights and interests, and enhancing information transparency. The Company is committed to continuously improving its corporate governance framework and advancing related initiatives, with the aim of enabling the Board of Directors and other functional committees to effectively fulfill their respective roles and to safeguard the best interests of the Company and all shareholders.

Formulated meeting agendas for the Board of Directors, the Audit Committee, and the Remuneration Committee, and prepared relevant meeting materials.

In 2025, convened a total of 8 Board meetings, 5 Audit Committee meetings, and 3 Remuneration Committee meetings.

Assisted in convening the Annual General Meeting of Shareholders on May 27, 2025, in compliance with statutory requirements.

In accordance with applicable laws and regulations, announced and disclosed material information relating to major resolutions of the Board of Directors and the Shareholders’ Meeting.

Conducted education and training programs for Taiwan- and China-based employees on integrity and ethical management–related topics, including confidentiality agreements and anti-bribery clauses, ethical business conduct, handling of material non-public information and insider trading prevention, and protection of trade secrets. In 2025, a total of 4,331.84 training hours were delivered, with 27,164 attendances. For foreign employees, awareness was promoted through integrity and ethical management training posters (translated into English, Vietnamese, and other languages) and related assessments.

Conducted Board performance evaluations, covering the Board as a whole, individual directors, and functional committees. On February 24, 2025, the results of the 2024 Board performance evaluation were reported to the Board of Directors. The overall Board, individual directors, and functional committees each achieved scores above 90, indicating strong performance.
